Suspension of Enforcement of Beneficial Ownership Information Reporting for U.S. Small Businesses

This decision, which was made public on March 2, 2025, has far-reaching implications for domestic companies and their reporting obligations. Please note this decision does not repeal the CTA but simply suspends the enforcement of penalties against U.S. small businesses who do not report their beneficial ownership information (BOI).
Background
The Corporate Transparency Act, enacted by Congress in 2021, was designed to combat money laundering and tax fraud by requiring certain businesses to disclose their beneficial ownership information (BOI). The law aimed to increase transparency and accountability by maintaining a database of the true owners of companies operating within the United States. The reporting requirements focused on small businesses operating as corporations or as limited liability companies and would impose a stiff penalty of $500.00 per day for any company that failed to disclose all people or entities which own at least twenty percent (20.0%) of the company.  There have been court challenges to this law’s constitutionality with mixed results.
